Terms of Service
The short version: Your work and your information belong to you. UPROAR is free during the beta and is still being built, so features will change. Creative Counsel and our pricing tools give guidance, not professional advice: check details before you book, sign, or spend. Be respectful, only upload work you have the right to share, and don’t try to break the service.
1. Agreeing to These Terms
These Terms of Service (“Terms”) are an agreement between you and UPROAR LLC (“UPROAR,” “we,” or “us”). They cover your use of uproarapp.co, the UPROAR platform, Creative Counsel, and the emails we send (together, the “Service”). By signing in or using the Service, you agree to these Terms and to our Privacy Policy. If you don’t agree, please don’t use UPROAR.
2. Who Can Use UPROAR
You must be at least 18 years old and able to enter into a binding agreement. If you use UPROAR on behalf of a business or collective, you confirm you are allowed to accept these Terms for it.
3. Your Account
- You sign in with your Google account. UPROAR has no separate password.
- Keep your Google account secure. You are responsible for what happens under your UPROAR account.
- One person per account. Don’t share your account or sign in as someone else.
- If you think someone else has accessed your account, email hello@uproarapp.co right away.
4. The Beta
- UPROAR is free during the beta. We will not charge you anything without first telling you the price and getting your agreement.
- The beta is a work in progress. Features may be added, changed, limited, or removed, and the Service may sometimes be unavailable or have bugs. Please tell us when something breaks.
- Creative Counsel has a monthly message allowance during the beta. The current allowance is shown on the Counsel screen and resets on the 1st of each month.
- Paid plans, such as the Artist plan, may be offered later. If they are, we will explain what changes before anything is charged, and we will update these Terms.
- We may end the beta. If we shut UPROAR down, we will give you at least 30 days’ notice by email so you can download your data.
5. Your Work Belongs to You
You own everything you create and add to UPROAR: your artwork, images, project plans, prices, budgets, profile, and writing (“Your Content”). We do not claim ownership of any of it.
To run the Service, you give UPROAR a limited, non-exclusive, royalty-free permission to store, copy, process, and display Your Content only as needed to provide UPROAR to you. This includes sending the parts Creative Counsel needs to our AI provider to answer your questions, and showing your Artist Profile publicly if you choose to publish it. This permission ends when you delete the content or your account, except for copies in backups, which are deleted on their normal schedule.
We do not sell Your Content, use it for advertising, or use your artwork to train AI models.
6. Creative Counsel and Our Planning Tools
Creative Counsel is an AI assistant. Our plan templates, suggested prices, mural quotes, budgets, and contract checklist are tools to help you think and plan. Please keep the following in mind:
- AI can be wrong. Counsel can make mistakes, and information about venues, grants, open calls, deadlines, fees, and contacts can be out of date. Confirm anything important directly with the source before you book, apply, sign, or spend.
- Not professional advice. Nothing in UPROAR is legal, tax, accounting, financial, or insurance advice. For contracts, taxes, or major financial decisions, talk to a qualified professional.
- Research, not relationships. Counsel knows places from research. A mention is not an introduction, a referral, or an endorsement, and UPROAR is not affiliated with the venues, organizations, or people Counsel mentions unless we say so.
- Your decisions are yours. Suggested prices and budgets are estimates. You decide what to charge, what to spend, and what to sign.
7. Using UPROAR Respectfully
When you use UPROAR, you agree not to:
- Upload work, images, or text you don’t own or have permission to use.
- Post content that is illegal, threatening, harassing, hateful, sexually exploitative, or that invades someone’s privacy.
- Pretend to be another artist, person, or organization.
- Try to access other artists’ data, get around security or usage limits, or interfere with how UPROAR runs.
- Copy, scrape, resell, or reverse-engineer the Service, or use automated tools to access it without our written permission.
- Use Creative Counsel to create spam or to do anything illegal or harmful.
8. Your Public Artist Profile
Your Artist Profile is private unless you choose to publish it. If you publish it, anyone with the link can see what you put on it. You are responsible for what your public profile shows, and you can make it private again at any time in UPROAR. We may hide or remove content that breaks these Terms.
9. Copyright Complaints
We respect artists’ rights. If you believe something on UPROAR uses your work without permission, email hello@uproarapp.co with the subject “Copyright Complaint.” Include your contact information, a description of your work, the link to where it appears on UPROAR, and a statement that you believe in good faith the use is not authorized and that your complaint is accurate. We will review it and remove the content if appropriate. We may close the accounts of people who repeatedly infringe others’ work.
10. UPROAR’s Own Content
The UPROAR name, logo, design, software, guides, and plan templates belong to UPROAR LLC. You may use them only to use the Service. If you send us feedback or ideas, we may use them to improve UPROAR without owing you anything, and you are under no obligation to send any.
11. Other Services
UPROAR works with other companies, including Google for sign-in, and may link to outside websites, venues, and opportunities. We are not responsible for other companies’ services, websites, or terms. Any deal you make with a venue, buyer, or client is between you and them.
12. Emails
We send the emails described in our Privacy Policy, such as a welcome email and, if you leave it on, a weekly plan email. You can turn emails off in Settings or with the unsubscribe link in any UPROAR email. We may still send important messages about your account or these Terms.
13. Ending Your Account
- You can download your data or delete your account at any time in Settings. Deleting your account permanently removes your projects, inventory, profile, and Counsel conversations, as described in our Privacy Policy.
- We may suspend or close an account that breaks these Terms or puts other artists or the Service at risk. Unless the problem is serious or the law prevents it, we will tell you why and give you a chance to download your data.
- Sections 6, 10, and 14 through 19 continue to apply after your account ends.
14. Disclaimers
UPROAR is provided “as is” and “as available.” To the fullest extent the law allows, we make no warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We don’t promise that the Service will be uninterrupted or error-free, that any information from Creative Counsel is accurate or complete, or that using UPROAR will lead to any particular result, sale, or opportunity.
15. Limitation of Liability
To the fullest extent the law allows, UPROAR LLC and its owners and team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, sales, data, or opportunities, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid UPROAR in the 12 months before the claim or $100. Some places don’t allow some of these limits, so they may not all apply to you.
16. Responsibility for Your Use
If someone brings a claim against UPROAR because of content you uploaded or because you broke these Terms or the law, you agree to cover the reasonable costs of that claim, including reasonable legal fees, to the extent the law allows.
17. Resolving Disputes
If you have a problem with UPROAR, please email hello@uproarapp.co first. Most issues can be solved quickly, and we will try in good faith for 30 days before either of us takes formal action. These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-law rules. Any legal action will be brought in the state or federal courts located in Maryland, unless the law where you live gives you the right to bring it elsewhere. Either of us may bring a qualifying claim in small claims court.
18. Changes to These Terms
If we make material changes to these Terms, we will notify you by email at least 14 days before the changes take effect and post a notice on the site. If you keep using UPROAR after the changes take effect, you accept the updated Terms. If you don’t agree, you can delete your account at any time.
19. General
These Terms and our Privacy Policy are the whole agreement between you and UPROAR about the Service. If any part of these Terms can’t be enforced, the rest still applies. If we don’t enforce part of these Terms right away, we can still enforce it later. You may not transfer these Terms to anyone else. We may transfer them as part of a merger or sale of the business, and we will notify you if that happens.
